The order will be send after reception back of the quote sign by yourself and of the total of the payments (in euros on the SOCIETE ZEBULON account). And so the order will become irrevocable.
3- DELIVERY
The order will arrive at your adress with appointed delays.
1- FORMATION OF CONTRACTS:
No variation to these terms and conditions shall form part of any contract made in writling and specifically accepted by the company.
These terms and conditions shall override and take the place of any other terms and conditions in any document or other communication used by the purchaser in concluding the contract with the company.
No contract shall come into effect until the purchaser's order has been accepted in writing by the company.
2- VALIDITY OF OFFER:
The offer is valid for two months.
3- SALE PRICES:
ZEBULON (SARL) prices are ex factory in euros.
4- TERMS:
Payments must be paid in Euros by credit-transfer to our bank account before shipment of goods and a pro-forma invoice will be used for this purpose.

If the purchaser shall fail to make payment in accordance with full in the applicable terms of payments, the company shall be entitled to suspend all or any other deliveries to be made under that or any other contract with the purchaser. In such event the purchaser shall not be released from its obligation to the company under that or any such other contract. The company shall be entitled to terminate the revelent contract with the purchaser and to claim damage from the purchaser for breach. The ownership of the goods to be delivered will only be transferred to the purchaser when the company has received all what is owing.
5- DELIVERY:
5/6 weeks from receipt of the purchaser's written order. The purchaser in the case of damaged or short delivered goods must mark clearly the carrier's delivery sheet and advise in direct. Failure by the purchaser to comply with these instructions will invalidate any claim for damaged or short deliveries.
6- TRANSPORT:
Costs of transport, customs duties and insurance are not included. The shipment is at customer's risk.
7- PACKING:
In carton boxes or paletts.
8- COMPLAINTS:
Complaints will only be accepted if made on delivery of goods. In case of damaged or short delivered goods the carrier's delivery sheet must be marked clearly and confirmed by registered letter within 3 days. Failure to comply with these instructions will invalidate any claim.
9- CANCELLATION:
Once a contract has been formed the purchaser will not be entitled to cancel the saure wholly or in part save with the express written agreement of the company. In the case of goods made to the purchaser's specific instructions and specifications once production has commenced or special materials have been ordered, under no circumstances can cancellation be accepted.
10- FORCE MAJEURE:
The company will entitled to cancel or rescind any contract without liability for loss or damage resulting therefrom if the performance of its obligations under the contract is in any way adversely affected by any war, trade dispute, floods, accident to plant or machinery, shortage of any material or labour or any other event whatsoever beyond the company control
11- GUARANTEE:
The company is not responsible for manufacturing defects, whatever the cause may be, except for free replacement ot its product if the purchaser sends it back and if teh company recognizes that the product is really defective, and this on condition that the damage be higher than 5% of the delivery. We cannot be bound to pay for any indemnity.
12- JURISDICTION:
In case of object of contention, the Court of Commerce in Paris (FRANCE) will have sole jurisdiction.
13- PROPRIETORSHIP RESERVE:
ZEBULON (SARL) remains owner of the goods until complete payment of the invoice by the purchaser. The ownership of the goods will only be transfered to the purchaser when the company has received all that is owing.
The purchaser is allowed to sell the goods only after full transfer of ownership.
